This use agreement describes the terms and conditions applicable to your use of
Exportmart.com which promotes business between suppliers and buyers on a global
level. This agreement is entered between you as the user of any site and exportmart.com.

The Information We Collect

Registration Information: At the time you register to become a Registered
User of the Site, you will be asked to complete a registration form which requires
you to provide information such as your name, address, phone/fax number, email address
and other personal information as well as information about your business.

Publishing Information: If you submit any information to exportmart.com to
be published on the Site through the publishing tools, including but not limited
to Company Profile, Product Catalog, Trade Leads, Trust Pass Profile and any discussion
forum, then you are deemed to have given consent to the publication of such information.

Payment Information: If you establish a credit account with us or our providers
or if you purchase a product or service from exportmart.com or other Registered
Users of the Site or other vendors available through the Sites, we may collect additional
information, including billing information, credit card numbers and expiration dates
and tracking information from cheques or money orders.

|
Account Activities Information: We record and retain the records of your
Account activities when you use the Exportmart.com services. If you make sale and
purchase transactions online through Exportmart.com’s web-based transaction platform
including Universal Gateway services, we also collect information related to such
transactions including the types and specifications of the goods, pricing and delivery
information, any trade dispute records.

Statistical Information: In addition, we gather statistical information about
our Site and Users, such as IP addresses, browser software, operating system, software
and hardware attributes, pages viewed, number of sessions, unique visitors and so
forth.

"Before you subscribe to or using our web site, ExportMart believes that user(s)
have fully read, understood and accept the agreement. "

1. User(s) Agreement with Company
|
|
This agreement applies to user(s) if user(s) are visitors, registered - free or
paid user(s) who access the web site for any purpose. It also applies to any legal
entity which may be represented by you under actual or apparent authority. User(s)
may use this site solely for their own personal or internal purposes. The Services
are offered to the User conditioned on the acceptance without modification of the
terms, conditions, and notices contained herein.

If the User does not agree with any part of the following terms, conditions and
notices, it/they must not use the Services.
|
|
User authorizes company to contact them periodically using mediums like telephone,
e-mailers or any other means, direct or indirect. If a user does not wish to receive
calls/other communications from company or its employees, they must inform company
in writing by sending an email to feedback@exportmart.com.

This agreement applies to all ExportMart services offered on the web site, collectively
with any additional terms and condition that may be applicable to the specific service
used/accessed by user(s).In the event of a conflict or inconsistency between any
provision of the terms and conditions mentioned herein with those of the particular
service, the provisions of the terms and conditions applicable to such specific
services shall prevail. Any waiver of any provision of these Terms and Conditions
will be effective only if in writing and signed by Company.

2. User Amendments

ExportMart may change, modify, amend, or update this agreement from time to time
without any prior notification to user(s) and the amended and restated terms and
conditions of use shall be effective immediately on posting. That’s why The User
is advised to regularly check for any amendments or updates to the terms and conditions
contained in this Agreement. If you do not adhere to the changes, you must stop
using the service. Your continuous use of the service will signify your acceptance
of the changed terms.

3. Third Party Content, Sites and services
|
|
Links to third party sites are provided by web site as a convenience to user(s)
and ExportMart has not have any control over such sites i.e. content and resources
provided by them.

The Site and Content available through the Service may contain features and functionalities
that may link or provide the User with access to third party content which is completely
independent of the Site, including web sites, servers, networks, information and
databases, applications, software, products or services, and the Internet as a whole.
|
|
The User agrees that the Company shall not be responsible or liable for any loss
or damage of any sort incurred as the result of any such dealings. If there is a
dispute between participants on this Site, or between Users and any third party,
the User understands and agrees that the Company is under no obligation to become
involved. ExportMart believes that user(s) acknowledge that ExportMart has no control
over such third party's site, does not monitor such sites, and ExportMart shall
not be responsible or liable to anyone for such third party site, or any content,
products or services made available on such a site.

4. Intellectual Property Rights
|
|
ExportMart is the sole owner or lawful licensee of all the rights to the web site
and its content. Web site content means its design, layout, text, images, graphics,
sound, video etc. The web site content embodies trade secrets and intellectual property
rights protected under worldwide copyright and other laws. All copyright and/or
know-how and/or any other intellectual property rights in relation to any of the
Services of the Company shall become and remain the sole and exclusive property
of the Company and the User shall have no claim to the same.

All rights not otherwise claimed under this agreement or by ExportMart.com, are
hereby reserved. We accept no responsibility for any errors or omissions, or for
the results obtained from the use of this information. User(s) of this site must
hereby acknowledge that any reliance upon any content shall be at their sole risk.

5. Termination
|
|
The User hereby agrees that Company, in its sole discretion, has the right (but
not the obligation) to delete or deactivate a User account, block its email or IP
address from the Site, or otherwise terminate its access to or use of the Service.
Most content and some of the features on the web site are made available to visitors
free of charge. However, EXPORTMART reserves the right to terminate access to certain
areas or features of the web site (to paying or registered users) at any time for
any reason, with or without notice.

EXPORTMART withholds the right to temporary or permanent termination of membership
of any user for any of the following reasons:

a) If it concludes that the user(s) have provided any false information in connection
with the member account to EXPORTMART, or are engaged in fraudulent or illegal activities.
|

b) If Company believes that the User has acted inconsistently with this Agreement.
|
|
c) Any unauthorized access, use, modification, or control of the web site data base,
network or related services.
|
|
d) If any monies payable by the User to the Company are not paid on the due date,
the Company may without prejudice to any other rights or remedies that may be available
to it, suspend the Service provided to the User.

e) Obtain by any means web site member's user name and/or password.
|
|
f) Utilize web site to send spam messages or repeatedly publish the same product
information.

|
6. Data Protection
|
|
Personal information supplied by user(s) during the use of web site is governed
by our privacy policy. The Company does not sell or rent the Users personal information
to third parties for their marketing purposes without the Users explicit consent.
The Company stores and processes User information on computers that are protected
by physical as well as technological security devices.

All information and data submitted by the User shall become the property of the
Company. However all such information shall be kept strictly confidential and the
Company shall not release any such data and information to any third party without
the prior consent of the User.

The User has access to only his own data and information stored in the database
at the Company (subject to prior confirmation of identity) and nothing more.

7. Limitation of Liability/Disclaimer

ExportMart makes no representations or warranties about the validity, accuracy,
correctness, reliability, quality, and stability, completeness of any information
provided on or through the web site. ExportMart does not represent or warranty that
the manufacture, importation, distribution, offer, display, purchase, sale and/or
use of products or services offered or displayed on the web site does not violate
any third party rights; and ExportMart makes no representations or warranties of
any kind concerning any product or service offered or displayed on the web site.
No advice or information, whether oral or written, obtained by you from web site
or through or from the web site shall create any warranty not expressly stated herein.

In no event shall the Company be liable for any indirect, incidental, special, incidental,
consequential or exemplary damages or any other damages resulting from any of the
following:

a) The delay, failure, interruption, or corruption of any data or other information

b) The use or the inability to use the web site.
|

c) Any interruption or errors in the operation of the Site.
|

d) Unauthorized access by third parties to data or private information of any User(s).

8. Governing Law and Jurisdiction

This Agreement and any dispute or matter arising out of or in connection with and/or
incidental to the use of the Site and/or the Services shall be governed by the laws
of India without regard to its conflict of law’s provisions. Export Mart considers
itself and intended to be subject to the jurisdiction only of the Courts of Ghaziabad,
Uttar Pradesh, India. The parties to this Agreement hereby submit to the exclusive
jurisdiction of the courts of Ghaziabad, Uttar Pradesh, India.

9. User(s) Eligibility
|
|
User(s) means any individual or business entity/organization that legally operates
in India or in other countries, uses and has the right to use the services provided
by ExportMart. The use of the Site is available only to persons who can form legally
binding contracts under applicable law. Therefore, user(s) must not be a minor as
per Indian Law; i.e. user(s) must be at least 18 years of age to be eligible to
use our services.

EXPORTMART is not responsible for the possible consequences caused by your
behavior during use of web site. EXPORTMART may, in its sole discretion, refuse
the service to anyone at any time. The service is not available to temporarily or
indefinitely suspended members of web site.

10. Registered User(s)
|
|
Certain of the products and services will require the user to register. A User must
fill out some online registration forms to become a "Member" of ExportMart.com.
To become a Registered User(s) there is a proper procedure which is for the convenience
of user(s) so that they can easily log-in and log-out. User(s) can become a Registered
User(s) by filling an on-line registration form on the web site by giving desired
information (name, contact information, details of its business, etc.).

If you register on behalf of a business entity, you represent that business entity
and
|
|
(a) You have the authority to bind the entity to terms and condition of use and/or
this Agreement.

(b) The address you use when registering is the principal place of business of such
business entity.
|
|
(c) All other information submitted to ExportMart during the registration process
is true, accurate, current and complete. If the User provides or attempts to give
any information, that is untrue, inaccurate, invalid, or incomplete, Exportmart.com
has the rights and authorities to suspend or terminate User's registration and
refuse any or all use of ExportMart.com and its features, products and services.
